Fabric Insight App: Confidentiality & Non-Disclosure Agreement

Non-Disclosure Clause: All Community Members

The parties acknowledge that during the course of their engagement, they may receive or have access to confidential and proprietary information related to the product's utility and design. The parties agree to the following terms regarding non-disclosure:

Confidentiality Obligation

The recipient shall not disclose, disseminate, or otherwise make available any confidential information to any third party without the prior written consent of the disclosing party.

Prohibition on Replication

The recipient agrees not to replicate, attempt to replicate, or facilitate the replication of the product's utility or design, in whole or in part, for any purpose.

Ownership and Ideation

The recipient acknowledges that all rights, title, and interest in and to the product's utility and design, including any enhancements or modifications, remain with the disclosing party. The recipient shall not claim ideation or ownership of any part of the product's utility or design.

Duration of Obligation

The confidentiality obligations set forth in this clause shall remain in effect for a period of two years from the date of disclosure.

Legal Remedies

The parties agree that any breach of this clause may cause irreparable harm to the disclosing party, and that monetary damages may not be a sufficient remedy. Therefore, the disclosing party shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.
